Where there is a vote on a show of hands at a BT AGM or EGM, a shareholder present (in person or by proxy) at the meeting has one vote. Where there is a poll, a shareholder present (in person or by proxy) has one vote for every share they hold or represent.
To be entitled to vote, a shareholder must own shares as at 6:00 pm two days before the day of the meeting.
The business to be transacted at a shareholder meeting is set out in the Annual Review and Notice of Meeting (AGM). Details of the proxy voting at the 2006 AGM are available as a PDF file.
As a shareholder, even if you are unable to come to a meeting, your vote is still important to us, regardless of the number of shares you own. So, if you do not wish to attend and vote on the resolutions in person, you are encouraged to vote by proxy.
